1. General Principles ZOEJO (the "Studio") is committed to protecting the privacy and proprietary information of our B2B Clients and website visitors. The Studio will not sell, trade, or rent personal or corporate information to third parties.
2. Collection of Data The Studio collects information only when voluntarily provided by the Client for the purpose of business transactions. Data collection occurs during:

Licensing, Sales & Invoicing: Collection of corporate contact info, Tax ID/VAT numbers, and payment details.

Project Inquiries: Collection of project briefs and brand guidelines.

Marketing Subscriptions: Collection of email addresses for new collection releases and studio offers.
3. Disclosure to Third Parties The Studio shares information with third parties only for Service Fulfillment (e.g., secure payment processors or cloud storage providers like Dropbox to facilitate file delivery) or when required by law to protect the rights and safety of the Studio.
Terms and Conditions
1. Scope of Agreement These Terms and Conditions constitute a legal agreement between ZOEJO (the "Studio") and the business entity or individual (the "Client"). By paying an invoice or completing a digital purchase, the Client agrees to be bound by these terms.
2. Digital Delivery & No-Return Policy

Delivery Method: All artwork and design assets are delivered digitally via a secure Dropbox link sent to the Client’s provided email address.

Final Sale: Due to the digital nature of the products, which are deemed "consumed" upon access, all sales are final. ZOEJO does not accept returns, exchanges, or refund requests once the digital link has been dispatched.

Link Responsibility: The Client is responsible for downloading and backing up all files upon receipt. Dropbox links provided by ZOEJO remain active for 14 calendar days. A fee may apply for link restoration or re-uploading archived files.
3. Payments, Rush Fees & Late Penalties

Commission Deposits: To initiate a project, ZOEJO requires a non-refundable 50% deposit. For large-scale or multi-phase corporate projects, the Studio may authorize a milestone payment schedule at its discretion.

Rush Fees: Projects requiring a guaranteed delivery date earlier than the Studio’s standard turnaround time are subject to a Rush Fee ranging from 25% to 100% of the total project cost, payable upfront.

Final Delivery: High-resolution files will be released only after the total balance (including any rush fees) has been paid in full.

Late Payment Penalties: Invoices are due upon receipt.

30+ Days Overdue: A late fee of 5% per month will be applied to the outstanding balance.

90+ Days Overdue: Accounts remaining unpaid after 90 days will incur an additional high-interest penalty of 15% of the total invoice value.

Collection: The Client is responsible for all legal and collection fees incurred while attempting to recover funds from accounts 90+ days overdue.

4. Revisions & Additional Quotes

Included Revisions: All commissioned projects include two (2) rounds of minor revisions at the proofing stage. A revision is defined as a minor adjustment to color, scale, or placement that does not deviate from the original project brief.

Additional Quotes: Requests for revisions beyond the initial two rounds, or requests that significantly alter the original scope, will require an Additional Quote. Work will not commence on these changes until the new quote is approved and paid.
5. Intellectual Property, Copyright & Portfolio Rights

Transfer of Ownership: For artwork purchased "outright" or as a full buyout, full copyright and intellectual property rights transfer to the Client only upon receipt of final payment in full.

Condition of Non-Payment: If a Client fails to pay the final balance or associated late fees, no transfer of copyright occurs. ZOEJO retains 100% of the legal rights. Use of the artwork without full payment constitutes a violation of Federal Copyright Law.

Portfolio Rights: Notwithstanding any transfer of copyright, ZOEJO retains the right to use the artwork for self-promotion (website, social media, portfolios). This right will be exercised only after the artwork has appeared on the Client’s product or has been publicly launched.
6. File Specifications & Liability It is the Client’s responsibility to ensure they have the necessary software (e.g., Adobe Creative Suite) to use the files. ZOEJO is not responsible for printing errors, color profile mismatches, or technical issues arising from the Client’s third-party manufacturers.
